This agreement governs the relationship between a company and an independent contractor and protects the interests of both the parties. An Independent Contractor Agreement is used to hire a contractor. It is  advised to have the agreement notarised by an official notary agent.

WHAT IS AN INDEPENDENT CONTRACTOR?

An individual hired by a business to complete a particular project rather than assigning the same work to an employee in the business, is an independent contractor. The manner in which the project or job is to be completed is not controlled by the company. This includes the material used, skills and techniques implemented and the additional labour hired by the independent contractor. An independent contractor can be an individual or company.

What are certain clauses in an Independent Contractor Agreement, on which negotiations occur more than usual?

  • IPR: This clause allows every contracting party to utilize the IPR works without posing a threat of infringement to the original creator. It is negotiated amongst the parties to see with whom these rights are vested.
  • Type of work/service: It is very important to understand and mention specifically in the agreement about the kind of work for which the contractor is hired. Unless and until this clause is clear, the representations and warranties clause cannot be properly drafted. 
  • Term of service: The independent contractor is required to mention the overall duration of the work in which he may be able to complete the task assigned to him.
  • Payment: The contractor is required to provide the company with the expenditures upon his services. The method of payment is vital and must be expressly drafted.
  • Representations and warranties: This clause specifies the facts that each party presents to complete their contractual obligations. 
  • Confidentiality: There are certain cases where a party requires the other party to not disclose any sensitive information then this clause is initiated which binds the parties to the contract to keep the sensitive information confidential and not to be shared with anyone else.
  • Liability and Indemnification: It helps the responsible party to provide remedies for correcting the mistakes in the form of damages to the consumer or indemnification to the contracting party.
