What is trademark licensing?

Trademark Licensing is one of the commercial and most beneficial aspects of owning a trademark. Through the means of licensing, the owner of a brand/trademark agrees upon authorizing another entity to use the trademark, in lieu of commercial benefits/royalties. This licensing is agreed upon by signing a Trademark Licensing Agreement.

Trademark Licensing allows the owner of the trademark to expand its business and grow in the markets. The owner can easily maintain the quality of the product under the trademark through utilising the royalties received as per the license terms. This would help the owner create a loyal customer base and a strong reputation. The trademark is an intellectual entity that can be transferred from one owner to another. Just like a commodity, it can be given or ‘assigned’ to someone else. This is called assignment of trademark, where you can give or assign your trademark to someone else with a binding contract.

What are the types of Licensing Agreements?

  • Exclusive Licensing Agreement:. During the term of the agreement, no one other than the designated licensee is allowed to exploit or use the licensed asset.  Even the licensor is absolved or prohibited from utilizing or abusing the licensed property during the term of the agreement.  The simplest instances of an exclusive licensing agreement are copyright, trademarks, and patent licenses.
  • Non-exclusive Licensing Agreement: In this type of agreement, the licensor may grant the license to almost any number of licensees and also at the same time use the licensed assets for the length of the agreement entered into.
  • Co-exclusive Licensing Agreement: This type of arrangement necessitates the use and management of the licensed property by more than one licensee, but usually restricts the number of licensees the licensor can license his property to and the number of permitted licensees are determined at the time of signing the license agreement.
  • Sole Licensing Agreement: A sole license is issued when the licensor wishes to retain his intellectual property rights while also licensing it to only one licensee for a specific territory or the entire world.

WHAT IS THE PROCEDURE OF TRADEMARK LICENSING?

  • The parties enter into a licensing agreement, called the Trademark Licensing Agreement.
  • This agreement must be duly agreed upon and executed before an application regarding it is filed with the Trademark Registry.
  • The application to record the transfer of rights is filed using TM-28.
  • There should be a proper affidavit which should be filed along the deed.
